Terms of Service

Welcome to ShalaDesk. These Terms of Service govern the usage of the ShalaDesk School Management System and ERP Software provided by VindhyaTech to licensing schools, colleges, and educational institutes in Madhya Pradesh. By registering for a product demo, implementing ShalaDesk, or accessing our parent portals, you agree to these Terms.

1. Software Licensing and Accounts

VindhyaTech grants partner educational institutions a non-exclusive, non-transferable license to access ShalaDesk ERP platforms according to the agreed-upon student strength. You are responsible for:

• Maintaining the confidentiality of administrative, teacher, and student login passwords.
• Ensuring that student directory uploads and mobile contact lists are accurate and up-to-date.
• Restricting portal access solely to active school staff, enrolled students, and verified parent guardians.

2. SMS Wallet & Payment Terms

Automated notifications sent through the ERP platform are billed against the school's SMS Wallet balance. Recharge payments made online via Razorpay are processed in Indian Rupees (INR) and credited directly to the school's wallet. Fees collected for software licensing and SMS balances are non-refundable, except as explicitly stated in your custom service level agreement (SLA).

3. On-Site Support & Training

VindhyaTech provides initial software configuration, data migration assistance, and on-site training sessions for schools located in Singrauli, Waidhan, Rewa, Sidhi, Shahdol, and Satna. Additional maintenance requests or physical campus visits are scheduled based on technical engineer availability and may be subject to standard travel coordinates policies.

4. Limitation of Liability

VindhyaTech makes every effort to ensure continuous system availability. However, we are not liable for service interruptions caused by internet connectivity drops, MSG91 gateway failures, or hosting provider downtime. Data security is maintained through daily automated backups on OCI-compliant object storage systems.

5. Governing Law

These Terms of Service are governed by the laws of India. Any legal disputes arising out of the usage of ShalaDesk ERP or services provided by VindhyaTech will be subject to the exclusive jurisdiction of the courts located in Singrauli, Madhya Pradesh.
